These Terms of Service (“Terms”) govern your access to and use of Mosea Brand Ambassador Reporting and related services (the “Services”) operated by Mosea Technologies Ltd. (“Mosea”, “we”, “us”, “our”).

By using the Services, you agree to these Terms.

If you use the Services on behalf of an entity, you confirm that you have authority to bind that entity to these Terms.

1) Definitions

“Ambassador” means an invited independent contractor who uses the Services for programme participation.
“Brand Client” means a brand that engages Mosea for programme reporting and moderation.
“Your Content” means content and materials you submit to the Services or authorise us to retrieve from connected accounts.

2) Invitation-only access

We provide the Services on an invitation-only basis. We may revoke invitations or remove access to protect the Services, support programme integrity, or enforce these Terms.

3) Eligibility

You must be at least 18 years old, or you must meet the minimum age required in your jurisdiction, to use the Services.

4) Accounts and security

You must provide accurate account information and keep it current. You are responsible for all activity under your account.

You must protect your credentials. You must notify us promptly if you suspect unauthorised access.

5) Programme participation and independent contractor status

Ambassadors participate as independent contractors. Ambassadors do not act as employees, agents, or representatives of Mosea through these Terms.

Programme rules and compensation terms may appear in separate written agreements, programme terms, or statements of work. Those documents govern compensation, tax handling, eligibility rules, and deliverables for the applicable programme.

6) Social connections and authorisations

The Services allow you to connect Instagram and TikTok accounts to retrieve data you authorise for moderation, reporting, and analytics.

You must connect only accounts you own or control, or accounts you have express authorisation to connect.

You agree to follow Instagram and TikTok rules and policies when you use the Services with connected accounts.

7) Acceptable use

You agree that you will:

Use the Services only for lawful purposes
Provide only content and data that you have the right to provide
Keep your account secure and confidential

You agree that you will not:

Bypass security controls or access non-public areas of the Services
Probe, scan, or test vulnerabilities
Reverse engineer, decompile, or attempt to derive source code, except where applicable law permits this right
Interfere with the Services, including malware, automated abuse, or denial-of-service activity
Scrape or extract data from the Services through automated means, except through interfaces we provide and authorise
Use the Services to violate platform rules or infringe the rights of others

8) Your Content and licence to Mosea

You own Your Content.

You grant Mosea a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, and display Your Content only to operate, provide, maintain, and improve the Services, and to produce programme moderation outputs, reporting, and analytics.

You confirm that you have all rights needed to provide Your Content and to grant this licence.

9) Brand Client reporting

Brand Clients engage Mosea to produce moderation and reporting outputs for ambassador programmes. The Services may display or deliver programme reports to Brand Clients, including ambassador-level performance and compliance information when the programme requires it.

10) Third-party services

The Services integrate with third-party services, including Instagram and TikTok. Those services operate under their own terms and policies. We do not control third-party services. We do not accept responsibility for them.

11) Privacy

Our Privacy Policy explains how we collect, use, disclose, and retain personal information, including connected account data and deletion options.

12) Suspension and termination

We may suspend or terminate access to the Services if you violate these Terms, if we need to protect users or the Services, or if the law requires it.

You may stop using the Services at any time. You may request deletion through the methods described in the Privacy Policy.

13) Disclaimers

We provide the Services on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

14) Limitation of liability

To the fullest extent permitted by law, Mosea will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

To the fullest extent permitted by law:

For Ambassadors and other users who do not pay Mosea, Mosea’s total liability for any claim arising out of or related to the Services will not exceed CAD $100.
For Brand Clients, any liability limits will follow the written agreement between Mosea and the Brand Client. If no written agreement sets a different limit, Mosea’s total liability will not exceed the fees the Brand Client paid to Mosea for the Services in the 12 months before the event giving rise to the claim.

15) Indemnity

You will indemnify and hold Mosea harmless from claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

16) Governing law and venue

These Terms are governed by the laws of Ontario and the federal laws of Canada that apply in Ontario.

You agree that courts located in Toronto, Ontario have exclusive jurisdiction over disputes arising out of or related to these Terms or the Services, except where applicable law requires a different approach.

17) Changes to these Terms

We may update these Terms from time to time. We update the “Last updated” date when we post changes. Your continued use of the Services after the effective date means you accept the updated Terms.
